Terms of Service

The agreement between you and Arlee, LLC for using Arlee Labs: accounts and API keys, prepaid balance and payments, refunds, acceptable use, liability, and governing law.

Revision dated October 17, 2026Effective October 17, 2026

1. Who we are and who these Terms apply to

These Terms of Service (the “Terms”) are an agreement between you and Arlee, LLC, a Delaware limited liability company (“Arlee”, “we”, “us”), which operates Arlee Labs. Arlee Labs includes the website arleelabs.com, the client portal at app.arleelabs.com, and the API at api.arleelabs.com (together, the “Service”).

If you use the Service on behalf of a company or another organization, you confirm that you have the authority to accept these Terms for it. In that case “you” means the organization.

In these Terms, “Arlee Labs” means the Service and, where the context requires, Arlee.

2. General and acceptance

These Terms govern the use of arleelabs.com, the client portal at app.arleelabs.com, and the Arlee Labs API. The service provides a technical gateway to third-party AI model APIs.

Registering an account, obtaining an API key, topping up a balance, or using the API constitutes acceptance of the current Terms. If you do not agree, you must stop using the service.

3. Eligibility

You must be at least 18 years old, or of legal age (the age of majority) where you live if that is higher, to use the Service. By using the Service you confirm that you meet this requirement and that the law does not prohibit you from using it.

4. The Arlee Labs service

Arlee Labs provides one interface for text, image, audio, and video models, together with client portal tools, usage records, and a prepaid internal balance in US dollars.

Available models, capabilities, modes, and rates are published on the Models & pricing page and may change when the live catalog or upstream provider terms change.

5. Account and API key

You must provide accurate information, keep your password and API key confidential, and are responsible for requests made with your credentials. Revoke and replace a key immediately if you suspect it has been compromised.

You may not share access in a manner that violates law, these Terms, or a model provider’s rules.

6. Acceptable use

You must not:

  • use the API for illegal activity, fraud, spam, or causing harm;
  • circumvent security measures, limits, billing, or technical safeguards;
  • infringe third-party rights or violate the selected model provider’s rules;
  • interfere with the service, probe private infrastructure, or resell access contrary to agreed terms.

7. Rates, billing units, and charges

Current rates are published on the Models & pricing page in US dollars. Each model displays the applicable unit and condition, such as input and output tokens, an image of a specified size, seconds of audio, or another mode. You are responsible for checking the model, mode, and rate before sending a request.

The cost of a processed request is deducted from the internal balance at the rate applicable to that model and mode at processing time. A request that fails is not charged; if a request was charged in error, the amount is returned to your balance. Paid operations may be paused when the balance is insufficient.

The internal balance is an accounting record used to pay for Arlee Labs services. It is not electronic money, a bank account, or an investment asset; it earns no interest and is not intended for transfer to another user or withdrawal as a standalone asset. Unused paid funds are returned only as a refund under the Refund Policy.

8. Payments, balance, and refunds

You pay by topping up a prepaid balance in US dollars. Top-ups are made by card through a third-party payment processor. Before payment is confirmed, the available payment method, amount, currency, and internal balance credit are shown. The selected payment processor processes the payment. Arlee Labs receives transaction status and technical details, but not the payment instrument’s bank credentials.

You are responsible for any taxes, bank fees, or currency conversion charges that apply to your payment where you live.

Duplicate, erroneous, confirmed-but-uncredited payments and questions about unused balance are reviewed by support after transaction verification and subject to payment-provider capabilities. Consumed API requests are not refundable except in the case of a confirmed billing error. Include the account email, date, amount, and payment ID in your request; never send your password or active API key.

Refunds are handled under our Refund Policy, which is part of these Terms. It explains when unused balance and duplicate and erroneous payments are refunded, and how to ask.

9. Third-party providers and model outputs

Arlee Labs does not develop most available models. Requests may be fulfilled by third-party providers and are subject to their technical constraints, acceptable-use rules, and data policies.

Outputs are generated automatically and may be inaccurate, incomplete, or unsuitable for a purpose. You must independently verify outputs before using them in medical, legal, financial, safety, or other consequential contexts.

10. User content and output rights

You retain rights you already hold in prompts, files, and other materials and confirm that you have a lawful basis to submit them for processing.

Rights in model output depend on applicable law and the relevant provider’s terms. Arlee Labs receives only the limited rights required to transmit and process the request, calculate charges, protect the service, and provide support.

11. Access restrictions and termination

Arlee Labs may temporarily restrict or terminate access because of a security risk, abuse, unpaid charges, violation of law or these Terms, or a binding requirement from a model or payment provider.

Where possible without compromising security or third-party obligations, you may contact support to clarify the restriction. Restricting access does not by itself eliminate review of confirmed payment errors or other service obligations.

You can stop using the Service and ask us to close your account at any time by contacting support. Unused paid balance is handled under the Refund Policy. After access ends, the parts of these Terms that by their nature should continue (including payment obligations, limitation of liability, and governing law) continue to apply.

12. Availability, warranty disclaimer, and limitation of liability

The service is provided “as is” without a separate guaranteed SLA unless expressly agreed with you in writing. Maintenance, limitations, and interruptions may occur within Arlee Labs, network infrastructure, or model providers.

Arlee Labs is responsible for its own gateway within mandatory applicable requirements but cannot guarantee continuous availability of a third-party model, the content of its output, or the stability of provider rules.

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy of outputs, and non-infringement.

To the maximum extent permitted by law, Arlee, LLC and its owners, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising from or related to the Service. Arlee’s total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event that gave rise to the claim and (b) US $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, or your statutory consumer rights.

13. Governing law and disputes

These Terms and any dispute arising from them or from the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

Please contact us at admin@arleelabs.com first: most issues can be resolved quickly without a formal dispute. If a dispute cannot be resolved that way, it will be brought in the state or federal courts located in Delaware, and you and we consent to the jurisdiction of those courts.

This section does not take away any mandatory consumer rights you have under the law of the country where you live, including any right to bring a claim in your local courts that cannot be waived.

14. Changes to these Terms

A new revision is published at this permanent URL with a new date and applies to subsequent use of the service. Material changes may also be communicated through the website, client portal, or email. If you do not agree with a change, stop using the Service.
